Acceptance of Terms
By accessing or using NeuroAgent (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.
Description of Service
NeuroAgent is a multi-agent decision intelligence platform that enables users to submit business questions, strategic decisions, and complex problems to an AI council of specialised agents. The agents deliberate, debate, and produce synthesised recommendations with documented rationale.
Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, complete, and current registration information.
- Maintain the security of your password and account.
- Accept responsibility for all activity under your account.
- Notify us immediately of any unauthorised access at security@neuroagent.ai.
Acceptable Use
You agree not to use the Service to:
- Submit content that is unlawful, harmful, threatening, abusive, or discriminatory.
- Attempt to reverse-engineer or extract the underlying AI models or system prompts.
- Circumvent rate limits, access controls, or security features.
- Use the Service for any purpose that violates applicable laws or regulations.
- Impersonate other individuals or entities.
- Scrape, crawl, or extract data from the platform without prior written consent.
AI-Generated Content
The outputs generated by NeuroAgent's AI council are provided for informational and decision-support purposes only. They do not constitute legal, financial, medical, or professional advice. You are solely responsible for how you use, implement, or act upon AI-generated content. NeuroAgent makes no warranty that outputs are accurate, complete, or suitable for any particular purpose.
Intellectual Property
You retain ownership of all content you submit to the Service ("Input Content"). You grant NeuroAgent a limited, non-exclusive license to process your Input Content solely to provide the Service. The AI-generated outputs ("Output Content") are provided to you under the same license, subject to any applicable third-party AI provider terms.
The NeuroAgent platform, including its design, code, branding, and documentation, is owned by NeuroAgent and protected by intellectual property laws. You may not copy, modify, or distribute any part of the platform without prior written permission.
Subscription and Billing
Paid plans are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees. Subscriptions automatically renew unless canceled before the renewal date. Refunds are provided at our discretion within 14 days of initial purchase for annual plans. Monthly plans are non-refundable.
Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance, introduce changes, or suspend access for security or operational reasons with reasonable notice where possible. We are not liable for any losses resulting from service interruptions.
Limitation of Liability
To the maximum extent permitted by law, NeuroAgent's total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD. We are not liable for indirect, incidental, special, consequential, or punitive damages.
Termination
You may terminate your account at any time from account settings. We may suspend or terminate your access if you breach these Terms, with or without prior notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will do so.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
Changes to Terms
We may modify these Terms at any time. We will provide at least 30 days' notice before material changes take effect, via email or prominent notice within the platform. Your continued use after the effective date constitutes acceptance of the updated Terms.
